Terms of Service

1. The parties

These terms govern the relationship between Villar JA Data y Tecnología SRL ("FluxyMed", "Provider") and the entity or person purchasing access to the platform ("Customer").

By activating an account or signing a service agreement, the customer accepts these terms in full.

2. Service description

FluxyMed is a SaaS clinical operations platform that may include the following modules and capabilities.

  • Front desk and appointment scheduling.
  • Billing with DGII-compliant e-CF issuance.
  • Digital medical records.
  • WhatsApp Business assistant.
  • Executive dashboard and reports.
  • Multi-branch and multi-role management.

3. Onboarding and setup

The provider offers guided onboarding, initial platform setup, and training for administrative and clinical staff during the agreed implementation period.

4. Customer obligations

The customer agrees to the following responsibilities.

  • Provide accurate information when registering the medical center and its users.
  • Keep access credentials confidential.
  • Avoid sharing access with unauthorized third parties outside the organization.
  • Comply with Law 172-13 when recording and processing patient data.
  • Avoid using the platform for unlawful activities or in violation of Dominican healthcare regulations.
  • Keep contact and billing information up to date.

5. Pricing and billing

Pricing is agreed according to branches, monthly visit volume, and purchased modules.

Non-payment for more than 15 calendar days may result in temporary suspension of access.

6. Service availability

FluxyMed targets 99% monthly availability, excluding scheduled maintenance announced with reasonable prior notice.

7. Intellectual property

The software, FluxyMed brand, and all platform components remain the property of Villar JA Data y Tecnología SRL.

The customer receives a non-exclusive, non-transferable license limited to the term of the service agreement. Customer data remains the property of the customer.

8. Confidentiality

Both parties must protect the confidentiality of technical, commercial, and clinical information shared during the contractual relationship and for 3 additional years after termination, unless otherwise required by law.

9. Limitation of liability

The provider is not liable for indirect damages, loss of revenue, or incidents caused by events outside its reasonable control.

The provider maximum liability is limited to the amount paid by the customer during the 3 months preceding the claim event.

10. Termination

The customer may cancel the service with 15 days notice, subject to any specific conditions in the signed commercial agreement.

After termination, the customer will have a reasonable period to export data before permanent deletion according to the applicable policy.

11. Updates to these terms

We may update these terms with 30 days notice sent to the registered administrator email. Continued use of the service after that period means acceptance of the current version.

12. Governing law and jurisdiction

These terms are governed by the laws of the Dominican Republic. Any dispute will be submitted to the competent courts of Santo Domingo unless the parties agree otherwise in writing.
